Dell shareholders approve legal move from Delaware to Texas

Michael Dell's long campaign to bring his company home has succeeded. Shareholders voted overwhelmingly to approve Dell Technologies' reincorporation from Delaware to Texas, a move the CEO said simply formalizes where the company has always belonged.

The vote, announced Thursday, saw more than 95% of shares cast in favor of the relocation. The decision shifts Dell's legal home from Delaware, the traditional corporate haven for most major U.S. companies, to its operational headquarters in Round Rock, Texas.

Michael Dell framed the change as a natural progression. "Texas is where we were founded, where we build our products, and where our team has grown," he said in a statement following the vote. "This is about aligning our legal structure with our actual operations."

The move is part of a broader trend. In recent years, several high-profile companies including Tesla and Oracle have left Delaware for Texas, citing lower costs and a more business-friendly legal environment. Delaware has long dominated corporate law due to its specialized Court of Chancery, but critics argue its franchise taxes and litigation climate have become less attractive.

Dell's reincorporation does not change day-to-day operations or employee locations. It shifts the company's legal jurisdiction for shareholder lawsuits and corporate governance matters. The company expects the transition to be completed in the coming weeks, pending final administrative steps.

For Michael Dell, who founded the company in his University of Texas dorm room in 1984, the vote closes a loop. "We started here, we grew here, and now our legal home matches our real home," he said.
